Terms of Service

1. Agreement

By accessing or using our website, mobile application, APIs or other services (collectively, the “Services”), you (“you”, “User”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use the Services.

2. Services

Evra Health Inc. provides a health-tech platform combining AI, data analytics and integrations (directly or via partners) to deliver insights, health/biometric recommendations, meal-interventions, and other health-related services (the “Services”). These Terms govern your use of the Services.

3. No Medical Advice

The Services are for informational and educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. You should consult a qualified healthcare provider before making medical decisions. Evra does not practice medicine, and no provider–patient relationship is created unless explicitly established through a licensed clinical service. The Services are not intended for emergency or urgent medical needs. If you believe you are experiencing a medical emergency or life-threatening condition, call 911 or your local emergency services immediately.

4. Regulatory Disclosure

Evra is not a regulated medical device and has not been evaluated by the U.S. Food and Drug Administration (“FDA”). The Services are intended for general wellness and informational purposes and not for diagnosis, cure, mitigation, treatment, or prevention of disease.

5. Eligibility

You represent and warrant that:

  • you are at least 18 years old (or the age of majority in your jurisdiction) and have capacity to enter into these Terms;
  • if you access the Services on behalf of an organization, you are authorized to do so.

The Services are not intended for users under 18 without verified parental consent.

6. User Account & Access

  • You may need to register for an account, provide accurate and up-to-date information, and maintain the security of your credentials.
  • By creating an account, you agree to receive communications from us electronically, including emails, in-app messages, and SMS when you opt-in. You may opt-out of non-essential communications at any time.
  • You are responsible for all activities occurring under your account.
  • We may suspend, terminate or restrict your access at our discretion (including for violation of these Terms).
  • You may submit content (including text, AI chat entries, personal data). You grant Evra a worldwide, nonexclusive, royalty-free, transferable license to host, store, use, reproduce, display, and create derivative works for the purpose of operating, improving, and providing the Services.
  • You agree not to post harmful, offensive, or unlawful content. We may remove content at our discretion.
  • You may request deletion of your account and associated data at any time by visiting the Account Deletion Page or contacting us at support@evrahealth.com.

7. Data Use & License

You retain ownership of your personal data. Subject to your consent and this Terms/Policy, you grant us a worldwide, non-exclusive, royalty-free license to use-and-aggregate the data you provide (including health/biometric data) for operating, improving, developing the Services, and internal research/analytics.

You understand your use of the Services may involve sensitive data, and you consent to our processing as described below.

8. Health- & Sensitive Data

Because we process health-/biometric data (or may do so), you specifically acknowledge and consent that:

  • We may act in capacity of processor/controller (or other role) with respect to protected health information (“PHI”) under HIPAA if applicable. For any PHI we collect, receive, maintain or transmit in our role as a covered entity or business associate, we will follow a Notice of Health Information Privacy Practices in compliance with HIPAA.
  • You authorize us to collect and use your biometric/health data, from devices or records, subject to your consent and applicable law.
  • You understand that certain uses (treatment, payment, operations) may not require further consent; other uses (marketing, sale of data) will require explicit consent.
  • If you receive care or services from a licensed healthcare provider through our platform, that provider is solely responsible for your clinical care. Evra does not oversee, control, or guarantee clinical decisions.

9. Prohibited Uses

  • Use the Services for unlawful purposes or in violation of any applicable law.
  • Attempt to reverse engineer, decompile or otherwise gain access to backend systems or source code.
  • Interfere with the Services, impair them or attempt unauthorized access.
  • Harvest or collect other Users’ data without consent.
  • Violate third-party rights or regulatory requirements.

10. Third-Party Integrations

The Services may integrate with third-party tools, data sources, APIs, or be used in conjunction with partners (e.g., meals, device integrations, health platforms). Your use of such third-parties is subject to their terms and privacy practices. We are not responsible for their actions or policies.

11. Intellectual Property

All rights, title and interest in the Services, technology, software, content, trademarks and logos belong to Evra (or licensors). You may not use our trademarks or content without our prior written permission.

12. Indemnification

You agree to indemnify, defend, and hold harmless Evra Health Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or violation of third-party rights.

13. Closed/Open Beta Testing Services

From time to time, we may offer features labeled as beta, pilot, or experimental. These features are provided “as-is” and may be modified or discontinued at any time. Use of such features is at your own risk.

14. Disclaimer of Warranties & Limitation of Liability

  • The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Evra Health Inc. disclaims all warranties, express or implied (including fitness for a particular purpose and noninfringement).
  • In no event will Evra Health Inc. (its affiliates, officers, directors, employees) be liable for indirect, incidental, special, consequential or punitive damages, loss of data or profits, even if advised of the possibility of such damages.
  • The total aggregate liability of Evra Health Inc. under these Terms shall not exceed the amount you paid us in the prior twelve (12) months (if any) or USD $100 (or such higher minimum as required by law) — whichever is greater.

15. Term & Termination

  • These Terms remain in effect until terminated. You may stop using the Services at any time.
  • We may suspend or terminate your access for cause (e.g., violation of these Terms) or convenience.
  • On termination, your rights under these Terms cease but obligations and licenses that by their nature survive termination will remain in effect (e.g., indemnities, data license, etc).

16. Arbitration & Dispute Resolution

You and Evra Health Inc. agree that any dispute, claim or controversy arising out of or relating to the Services or these Terms shall be resolved by binding arbitration under American Arbitration Association (AAA) rules rather than in court, except where prohibited by law. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. If you do not agree to arbitration, you may opt‐out by notifying us in writing within 30 days of your first access to the Services.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules. You and Evra Health Inc. submit to the exclusive jurisdiction of the courts located in Wilmington, Delaware, for any claim not subject to arbitration.

18. Changes to Terms

We may modify these Terms at any time by posting a revised version on our website and updating the “Last updated” date. Your continued use of the Services after changes constitutes your acceptance of the updated Terms.

19. Miscellaneous

  • If any provision is held invalid or unenforceable, the remainder of the Terms remain in full effect.
  • These Terms and the Privacy Policy constitute the entire agreement between you and Evra Health Inc. regarding the Services.
  • No waiver of any provision constitutes a continuing waiver unless in writing.
  • Export Compliance: You represent you are not subject to trade sanctions or restrictions and will not use the Services in countries or with individuals prohibited under U.S. law.
